NOTICE OF
THE KESHER ANNUAL MEETING
Date: Wednesday, June 26, 2013 at 8:00pm
509 Engle Street, Englewood, New Jersey
For the Purpose of Electing New Trustees and Officers and Approving an Amendment to the By-Laws
Election of Officers and Trustees:
The present Board of Trustees currently consists of the following members:
- President - Mordy Rosenberg
- Vice-President - Marla Baum
- Treasurer - Yoni Saposh
- Secretary - Rebecca Tobin
- Trustees: Mark Charendoff, Josh Drazen, Michael Erber, Michael Kalish, and Rena Rosenberg
Each Officer serves for a one year term. In addition, as a result of term limits contained in Kesher's By-Laws, two Trustee positions will be open.
The following persons will continue in their positions on the Board of Trustees:
- Rena Rosenberg - To serve the third year of a three-year Trustee term
- Michael Erber - To serve the second year of a three-year Trustee term
The Board of Trustees of Kesher appointed a six-member Nominating Committee to nominate persons to fill positions as Officers and Trustees on the Board of Trustees as of July 1, 2013. The Nominating Committee consisted of Abigail Hepner-Gross (Chairperson), Nathan Fox, Daniel Blank, Evan Hochberg, David Polinsky and Marc Breslaw.
The Nominating Committee, with the review and consent of the current Board of Trustees, has nominated the following individuals to serve on the Board of Trustees in the following positions, effective July 1, 2013:
Officers:
- Mordy Rosenberg - President *
- Rebecca Tobin - Vice President
- Yoni Saposh - Treasurer
- Marla Baum - Secretary
Two-year Trusteeships:
- Hillel Parness - To serve the first of a two-year Trustee term
- Lori Birk - To serve the second year of Josh Drazen's two-year Trustee term
Three-year Trusteeships:
- Rena Rosenberg - To serve the third year of a three-year Trustee term
- Michael Erber - To serve the second year of a three-year Trustee term
- Michal Fox - To serve the first year of a three-year Trustee term
*As the current by-laws limit an Officer from servicing in that position for more than two (2) consecutive 1-year terms, a by-law amendment is proposed (See Appendix A). In the event the by- law amendment is not approved at the annual meeting, Rebecca Tobin (current Secretary) has agreed to serve as interim President until a replacement is voted upon within 60 days of the annual meeting.
In the event that a member of Kesher wants to be elected to a particular position on the Board of Trustees and has not been selected by the Nominating Committee, he or she must submit a petition signed by at least ten members in good standing of Kesher to any member of the Nominating Committee, requesting that he or she be placed on the ballot at the Annual Meeting for a specific position indicated therein. Upon determining that the petition is proper, the Nominating Committee shall immediately notify the membership of any additional nominees. Please note, however, that in order to be eligible for nomination to the Board of Trustees, a person has to be a member in good standing of Kesher for at least one calendar year prior to nomination and in order to be eligible for nomination to the position of President, a person must have been a member of the Board of Trustees for at least one year prior to nomination.

The Board of Trustees strongly encourages each of you to attend the Annual Meeting on June 26, 2013 to elect the Board of Trustees.
